Agreement to Terms

These Terms of Service ("Terms") govern your use of the JR Copier website and services. By accessing our website, purchasing equipment, entering into a lease or rental agreement, or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Use of Website

Acceptable Use

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the website. Prohibited activities include:

• Attempting to gain unauthorized access to our systems
• Transmitting viruses, malware, or harmful code
• Scraping or harvesting content without permission
• Impersonating another person or entity
• Using the website for fraudulent purposes
• Interfering with website functionality or security

Account Responsibility

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.

Equipment Sales

Purchase Orders

All equipment purchases are subject to acceptance by JR Copier. We reserve the right to refuse or cancel any order for any reason, including:

• Product availability or pricing errors
• Payment verification issues
• Suspected fraudulent transactions
• Inability to deliver to specified location

Pricing and Payment

All prices are in U.S. Dollars and subject to change without notice. Prices do not include applicable taxes, which will be calculated at checkout. Payment is due in full at time of purchase unless alternative arrangements are made. We accept major credit cards, ACH transfers, and business checks (subject to approval).

Title and Risk of Loss

Title and risk of loss pass to the buyer upon delivery. Buyer is responsible for inspecting equipment upon delivery and reporting any damage or defects within 48 hours.

Lease-to-Own Agreements

Lease Terms

Lease agreements are governed by separate lease documents executed at the time of transaction. Key terms include:

• Monthly lease payments due on the first of each month
• Lease terms typically range from 24 to 60 months
• Equipment ownership transfers after final payment
• Maintenance and service included in lease payments
• Late payment fees may apply after 10-day grace period

Equipment Maintenance

During the lease term, lessee is responsible for proper care and maintenance of equipment. JR Copier provides regular maintenance and service as part of the lease agreement. Lessee must report equipment issues promptly and allow access for service technicians.

Default and Remedies

Failure to make timely payments or comply with lease terms constitutes default. Upon default, JR Copier may repossess equipment, charge collection fees, and pursue legal remedies. Lessee remains liable for unpaid lease payments and damages.

Equipment Rentals

Rental Agreements

Rental terms are specified in the rental agreement and may include:

• Daily, weekly, or monthly rental periods
• Advance payment required for rental period
• Security deposit may be required
• Automatic renewal unless notice is provided
• Page volume limits may apply

Renter Responsibilities

Renter must use equipment properly, maintain it in good condition, and return it at the end of the rental period. Renter is liable for damage beyond normal wear and tear, loss, or theft of equipment. Equipment must be returned in clean, working condition with all supplied accessories.

Service and Maintenance

Service Agreements

Our service agreements cover:

• Preventive maintenance and inspections
• Repair of mechanical and electrical failures
• Parts and labor for covered issues
• On-site service by certified technicians
• Priority scheduling for service calls

Service Exclusions

Service agreements do not cover:

• Damage from misuse, abuse, or negligence
• Consumable supplies (paper, toner unless specified)
• Repairs needed due to unauthorized modifications
• Equipment moved without proper authorization
• Acts of God, natural disasters, or power surges

Response Times

We strive to respond to service requests within 4 business hours and resolve most issues within 24 hours. Response times may vary based on location, equipment type, and parts availability. Emergency service is available for critical equipment failures.

Warranties

New Equipment

New equipment is covered by manufacturer warranties, which vary by brand and model. JR Copier will facilitate warranty claims and provide support for warranty service. Manufacturer warranties typically cover defects in materials and workmanship for 1 year from date of installation.

Refurbished Equipment

Refurbished equipment includes a 90-day warranty covering mechanical and electrical failures. All refurbished equipment is thoroughly tested, cleaned, and inspected before delivery.

Warranty Limitations

WARRANTIES ARE LIMITED TO REPAIR OR REPLACEMENT. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. We are not liable for consequential damages, lost profits, or business interruption resulting from equipment failure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claim is limited to the amount you paid for the product or service
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for lost profits, data loss, or business interruption
• We are not liable for third-party products or services
• We are not liable for delays or failures due to circumstances beyond our control

Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of JR Copier or its content suppliers and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without written permission.

Indemnification

You agree to indemnify and hold JR Copier harmless from any claims, losses, damages, or expenses (including attorney fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or our services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration will be conducted in Minnesota. You waive the right to participate in class actions or class arbitrations.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or breach of confidentiality. Small claims court actions are also exempt from arbitration.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email to registered users.

Termination

We may terminate or suspend your access to our services immediately, without notice, for any breach of these Terms. Upon termination, your right to use our services ceases immediately. Provisions regarding warranties, liability limitations, and dispute resolution survive termination.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable lease, rental, or service agreements, constitute the entire agreement between you and JR Copier regarding the use of our services and supersede all prior agreements.
